1. Introduction
Welcome to ZIPPIX LTD ("Company," "we," "us," or "our"). These Terms & Conditions ("Agreement") govern your access and use of our website, products, and services, including UI/UX design, branding, and software development. By using our services, you agree to comply with these terms. If you do not agree, please refrain from using our services.
2. Definitions
- Client: Any individual or business entity engaging with ZIPPIX LTD for services.
- Services: All design, branding, development, and consulting solutions offered by ZIPPIX LTD.
- Deliverables: Final project outputs such as designs, code, and documentation.
- Confidential Information: All proprietary or sensitive data exchanged during the project.
3. Scope of Services
- Custom UI/UX Design: Wireframing, prototyping, and full-scale user interface designs.
- Branding Solutions: Logo design, brand guidelines, and marketing assets.
- Software Development: Full-stack development, MVP creation, web and mobile app solutions.
- Ongoing Support & Maintenance: Post-launch support and iterative improvements.
The exact scope, including project timelines and milestones, will be detailed in a formal agreement before project commencement.
4. Service Level Agreement (SLA)
- Project Timelines: We adhere to the agreed deadlines as long as the client provides required inputs on time.
- Communication Protocol: We respond to emails and inquiries within 24-48 business hours.
- Revisions & Iterations: Each project includes 6 rounds of revisions. Additional revisions may be subject to extra fees.
- Bug Fixes & Post-Delivery Support: We offer a 30-day warranty for defect fixes. Long-term support requires a separate maintenance contract.
- Third-Party Integrations: We provide guidance but are not responsible for third-party platform limitations or changes.
5. Payment Terms
- Pricing Structure: Payments are agreed upon per contract, typically structured as milestone-based or fixed-fee.
- Billing Cycle: Invoices are issued as per the project agreement, and payments are due within 7 days.
- Late Payments: A late fee of 25% per month may be applied to overdue invoices.
- Refund Policy: As a service-based software agency, we generally do not offer refunds once a project has commenced. However, if we are unable to deliver the agreed-upon scope of work due to reasons on our end, you may be eligible for a partial or full refund, depending on the circumstances. All refund requests must be made in writing and will be reviewed on a case-by-case basis.
6. Intellectual Property Rights
- Client Ownership: Upon full payment, the client receives ownership rights to the final deliverables.
- Portfolio Usage: ZIPPIX LTD retains the right to display work in its portfolio unless the client explicitly requests otherwise in writing.
- Third-Party Licenses: The client is responsible for securing licenses for third-party assets unless agreed otherwise.
7. Confidentiality & Data Protection
- Non-Disclosure: Both parties agree to keep sensitive business, project, and client data confidential.
- Data Handling: We store client data securely and only for the duration necessary to complete the project.
- GDPR Compliance: We comply with GDPR and other relevant data protection laws.
8. Liability & Indemnification
- Limited Liability: ZIPPIX LTD is not responsible for any indirect, incidental, or consequential damages.
- Indemnification: The client agrees to indemnify and hold ZIPPIX LTD harmless from claims arising from improper use of deliverables.
9. Termination & Cancellation
- Client-Initiated Termination: The client may cancel the project at any time; however, payments for completed work must be settled.
- Company-Initiated Termination: We reserve the right to terminate a project due to non-payment or breach of contract.
10. Governing Law & Dispute Resolution
This Agreement shall be governed by and construed in accordance with the laws of the United Kingdom. Disputes shall be resolved through arbitration in Bury St. Edmunds, United Kingdom, IP28 7DE
11. Amendments
We may update these Terms & Conditions from time to time. Clients will be notified of significant changes.
